Compliance Оfficer

The Compliance officer is appointed by the non-executive members of the Board of Directors of NOMAGAS JSC Skopje
following prior approval by the Energy Regulatory Commission.

Approval by the ERC for the Compliance officer

The Officer continuously monitors the compliance of NOMAGAS JSC Skopje’s operations with the Energy Law and the Compliance Program of NOMAGAS JSC Skopje in relation to the obligations arising from ownership unbundling, the Statute of NOMAGAS JSC Skopje, the Rulebook on the conditions and manner of operation of the Compliance officer, the applicable legal and/or bylaw regulations covering the scope of his/her work, as well as other acts of the company.

The Compliance Officer monitors the implementation of the Program from the aspect of:

– independence, transparency, objectivity, and impartiality in the operations of NOMAGAS JSC Skopje,

– notifying the Energy Regulatory Commission of any significant violations in the implementation of the Compliance program

– preventing discrimination against users of the natural gas transmission system on any grounds,

– ensuring the confidentiality of business data of the natural gas transmission system users,

– coordination and cooperation of NOMAGAS JSC Skopje with other natural gas transmission system operators,

– data exchange with operators of other natural gas transmission systems and participation in the work of regional and international organizations

– education and informing of the members of the Board of Directors of NOMAGAS JSC Skopje and the employees of NOMAGAS JSC Skopje regarding compliance with the principles of independence, transparency, and impartiality.

The scope of work of the Compliance officer is defined in:

– the Rulebook on the conditions and manner of operation of the Compliance officer, and

– the Compliance program of NOMAGAS JSC Skopje in relation to the obligations arising from ownership unbundling.

The Officer is obliged to submit annual reports to the non-executive members of the Board of Directors of NOMAGAS JSC Skopje and to the Energy Regulatory Commission on the implementation of the Compliance program and the measures undertaken for its execution, as well as on any significant violations in its implementation.
